G FORCE
Bylaws
SECTION ONE: PURPOSE
G FORCE
is
dedicated to a twofold goal of fulfilling its function of being a
fund-raising entity to benefit the community of Grizzly Flats and
Grizzly Pines Elementary School and to provide enjoyable community
events designed to entertain Grizzly Flats residents and draw the
community together with a sense of unity.
G FORCE
is
not exclusively a school organization or a community organization,
but serves as both to help meet the needs of each entity to the best
of the group’s ability. G FORCE ascribes to no political or
religious affiliation and will not support or endorse any particular
entity in that respect. Within the context of G FORCE events, a
conscious effort will be made to avoid any impression that any
particular religious or political entity is endorsed.
SECTION TWO:
MEMBERSHIP
G FORCE
membership is open to all community members who are interested in
participating in G FORCE events and providing support to meet our
goals, including, but not limited to, attending the quarterly
general membership meetings and providing support to G FORCE events.
New Membership:
Should
a community member desire to actually become a member of G FORCE,
they must first provide support to three separate G FORCE events.
The
petitioner will then acquire sponsorship from a current G FORCE member
who will recommend them to the Board of Directors for membership,
along with a completed membership application.
Once a
petition for membership has been received, the Board of Directors
will present the name of the petitioner to the general G FORCE
membership. Current G FORCE members
have the option of submitting in writing to the Board of Directors
any input, information or opinions they have regarding the potential
membership of this petitioner. Two weeks from the date of the G
FORCE meeting at which the petition for membership is announced, the
opportunity for membership comments will be closed and at its next
meeting, the Board of Directors will vote upon the membership of the
petitioner.
Continued Membership:
To
maintain membership, members are asked to support three different G
FORCE events within 12 months’ time, one of which is required to be
Founder’s Day. Support may take the form of a viable proxy on the
day of the event, donations to the event or preliminary assistance
in the planning and set up of the event.
SECTION THREE:
EXECUTIVE BOARD OF DIRECTORS
The G
FORCE Board of Directors shall consist of the five positions:
PRESIDENT
Duties:
Set up, coordinate and preside over G FORCE
general membership meetings.
Assume
responsibility for the conveyance of all relative G FORCE
communications to other Board of Directors.
Compile
agenda items at the monthly Board of Directors meeting and the
General Membership meetings, forward that information to the
Secretary prior to the meeting.
Conduct
the Board of Directors meeting and the General Membership meetings,
maintaining good organization, order and flow to the meetings.
VICE
PRESIDENT
Duties:
Assist the president in the performance of the
duties and in the president’s absence, preside over the scheduled
meetings.
Monitor committee activities and facilitate
communication between committees and board members as needed.
SECOND
VICE PRESIDENT
Duties:
Provide input on the impact G FORCE creates in
matters of public and community interests
Manage marketing tasks for G FORCE and G FORCE
events, including providing info on upcoming events to The
Turnout as required.
SECRETARY
Duties:
Record accurate and detailed minutes of all
meetings.
Forward
copies of the minutes to the President
Maintain permanent copies (hard copies or electronic copies) of
minutes for G FORCE records.
TREASURER
Duties:
Present a financial report at each Executive
Board meeting.
Maintain permanent copies of the treasurer's report for G FORCE
records.
Manage
all G FORCE funds.
Reimburse G FORCE members for legitimate business expenses as
needed.
Provide
a change fund and manage funds for all G FORCE activities as needed.
TERMS OF OFFICE
G FORCE
Board of Director offices will be re-considered each January or as
needed. Officers may remain in office so long as the continuation
of the “status quo” is amiable to all members of the Board of
Directors.
If an
officer must step down from office due to personal reasons or
board-motivated removal, the remaining officers will decide upon a
candidate to fill the vacated office and make an offer of nomination
to the prospective candidate. Unanimous approval is required by all
board members before an offer of nomination is extended.
Removal
of an officer from their position on the board requires a unanimous
vote from the remaining Board of Directors.
ADVISOR POSITIONS
A
minimum of 1 (one) representative from the Grizzly Pines Elementary
School staff will be available to G FORCE as a liaison to represent
school interests and needs.
SCHEDULING OF MEETINGS
The
Board of Directors will meet monthly and will be held at a time and
place most convenient to the majority of the board.
General Membership meetings will take place at
least quarterly, more often if needed for event planning.
FISCAL PROCEDURES
The G FORCE fiscal year will begin on November 1st
of each year. An annual report will be provided by the treasurer on
or about that time and a semi-annual report will be provided on or
about May 1st. Monthly treasurer reports will
also be submitted at the monthly Board of Directors meeting.
At the beginning of each G FORCE fiscal year, it will be the
G FORCE goal to have available a bank balance to support a minimum of $1000 for G FORCE needs,
$500 for school financial support and $500 for community outreach
support. If either the school or the community wishes to solicit G
FORCE for financial support for a specific item or project, the
request should be made in writing (email is an acceptable medium for
submitting the request) no later than the third Thursday of the
month. Each specific request will then be deliberated by the BOD
and the degree of assistance available will be determined.
SECTION FOUR: VOTING
PROCEDURES & PRIVILEGES
Although input is highly valued and considered from the community
members who support G FORCE and the G FORCE membership, all matters
of importance are to be formally voted upon by the G FORCE Executive
Board Members.
Executive Board Members are granted full voting privileges on
matters of importance. A 3/5 majority vote is required on most
issues with a unanimous vote being required for matters of
membership to the general G FORCE membership or the Executive Board.
If an Executive Board Member is unable to attend a Board
Meeting, they may convey their vote on an issue by proxy. They
must, however, concede to whatever jobs/tasks, however unsavory,
might be thrust upon them by the other board members in their
absence.
SECTION FIVE: AMENDMENTS
These
by-laws may be amended or altered in whole or in part at any time by
a unanimous vote of the board members present. Both proposed and
adopted amendments to these by-laws will be recorded by the
Secretary for permanent record.
